2.1 Each subscriber has been invited to signal assent to this Agreement either ahead of first reaching the Content as a subscriber or through a confirmation e-mail sent subsequently, and is invited again on every renewal.
2.2 Assent is also given afresh on every occasion the subscriber reaches the Content. Subscribers ought therefore to consult Section 11 to establish whether this Agreement has been revised since their preceding visit.
2.3 A person who declines this Agreement, or who has no authority to accept it for the business or employer concerned, is not to reach or make use of the Content.
2.4 Subscribers are encouraged to file away a copy of this Agreement.
Section 3. Ownership
3.1 The Association or its licensors hold the whole of the intellectual property in the Content, copyright and database rights included.
3.2 Subscribers recognise "Georgia Women Leaders Association" as the Association's trade mark and shall not employ that mark absent written consent from the Association.
Section 4. Licence
4.1 The Association grants each subscriber a non-exclusive permission, confined to that subscriber's own legitimate personal or business purposes, to:
- (a) access and view the Content on whatever compatible device the subscriber chooses; and
- (b) for any Content offered as a download, retain one copy on a storage device belonging personally to the subscriber, for example a USB drive, and on no shared drive, shared server or other networked storage device.
4.2 Neither the subscriber nor any third party with the subscriber's permission shall:
- (a) save as clause 4.1 expressly authorises, copy, reproduce, broadcast, transmit, modify, abstract, create derivative works of, store, archive, aggregate, publicly display, redistribute, share, forward, license, sub-license, publish or sell any Content, nor exploit any of it commercially in any fashion;

4.3 The Association reserves a right to monitor the use made of any Service, and in the event of use contrary to this Section 4 it may suspend the subscriber's access to the Content or cancel the subscription.
4.4 EACH RIGHT THAT THE GEORGIA WOMEN LEADERS ASSOCIATION RESERVES BY THIS SUBSCRIBER AGREEMENT SITS ALONGSIDE, AND IS WITHOUT PREJUDICE TO, THE ASSOCIATION'S OTHER LEGAL RIGHTS, INCLUDING THOSE CONFERRED BY APPLICABLE COPYRIGHT LEGISLATION.
Section 5. Membership
5.1 Registration. To become a subscriber, a person furnishes accurate and complete particulars about themselves and thereafter keeps them current, notifying alterations to service@BizSummits.org.
5.2 Single user. A subscription is personal to one user.
5.3 Organizations. Where a subscription is acquired for an individual's use at a company or other organization that employs or engages them, the individual accepts this Agreement for that organization as well, and the individual and the organization are each responsible for use of the Content conforming to it. Each user within an organization requires a distinct subscription.
5.4 Credentials. The subscriber bears responsibility for all use made of the Content under the subscriber's ID, by whomever made, and for guarding against unauthorized use of the ID.
5.5 Security. A subscriber wishing to alter the ID, or who believes security has been breached by disclosure, theft or unauthorized use of the ID or of any payment information, shall notify the Association at once by e-mail to service@BizSummits.org.
5.6 Tiers. The Association may from time to time offer more than one level or type of subscription, carrying different Content and services, which will be identified to the subscriber on acquisition. The Association reserves the right to alter the Content, the services or any subscription level at any time.
5.7 Processing. While the Association seeks to handle applications promptly, it does not guarantee that Content will be accessible within any stated time following purchase.
Section 6. Fees
6.1 On subscribing, the subscriber furnishes complete and accurate payment particulars and undertakes to pay at the rates current on the subscription date.
6.2 By supplying card particulars, the subscriber warrants entitlement to buy a subscription with that card.
6.3 Absent timely payment or payment authorization, or upon any authorization being cancelled or refused afterwards, the Association may forthwith suspend access to the Content or terminate the subscription.
6.4 Charges are levied in US dollars. The subscriber may additionally be liable for applicable taxes.
6.5 Varying payment terms and subscription durations may be available and will be disclosed at the point of subscription.
Section 7. Term
7.1 Commencement. By ordering, the subscriber consents to the subscription commencing as soon as the Association accepts the order; accordingly no refund is owed should the subscriber have a change of mind once access has been furnished.
7.2 Renewal. An annual subscription renews automatically for one further year unless, before expiry of the current annual period, the subscriber notifies the Association of a wish to discontinue. Renewal is charged to the card or other payment method previously used.
7.3 Cancellation. Other than as clause 7.1 provides, the subscriber has no right to cancel the subscription or any portion of it before the current subscription period expires. Notice of intended cancellation may be served at any time but becomes effective only on that expiry, and carries no refund save in the limited circumstances these terms specify. Notices go to the Customer Services team at service@BizSummits.org.
7.4 Termination for breach. The Georgia Women Leaders Association reserves the right, with or without notice and without any further obligation to the subscriber, to suspend or terminate a subscription where these terms and conditions are breached.
7.5 Force majeure. The Association may also suspend or terminate a subscription where circumstances outside its control prevent it from providing services.
7.6 Refund on termination. Where the Association terminates a subscription for any reason, and/or permanently ceases to publish the Content or to provide subscription services, it shall, exceptional circumstances apart, make a pro rata refund to the subscriber's credit card, namely the sums paid in advance attributable to the remaining unexpired period of the subscription.
Section 8. Warranties
8.1 Sections 8 and 9 deserve close attention, since together they mark out whether and how far the Association accepts responsibility (liability) to subscribers for use of the Content.
8.2 The website and the Content are made available "as is" and "as available".
8.3 The Association offers no assurance concerning the availability, quality, security, completeness or accuracy of the website or the Content, nor that they are free of viruses or comparable defects.
8.4 The Association's sole undertaking regarding the website and the Content is to try to develop the Content and run the website with reasonable skill and care, and to employ reasonable efforts in correcting any fault brought to its notice.
8.5 Content is supplied for general information and use and is not shaped to any subscriber's specific requirements. It constitutes no advice, recommendation, representation or endorsement of any sort and is not to be relied on when making, or declining to make, any specific business, investment or other decision.
8.6 SO FAR AS APPLICABLE LAW PERMITS, THE ASSOCIATION DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, CONDITIONS AND DUTIES OF ANY NATURE, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF SATISFACTORY QUALITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
Section 9. Liability
9.1 The Association has no liability to a subscriber for matters outside its reasonable control, for the internet, for acts of God or for acts of third parties.
9.2 The Association bears no responsibility for use of Content outside the scope of this Agreement.
9.3 Where a subscriber has paid no subscription fee, the Association accepts no liability to that subscriber in respect of the website or the Content.
9.4 THE ASSOCIATION'S FINANCIAL RESPONSIBILITY TO A SUBSCRIBER, ARISING FROM USE OF THE CONTENT OR OTHERWISE IN CONNECTION WITH THIS AGREEMENT, EXTENDS TO DIRECT DAMAGES ONLY AND IS CAPPED AT AN AMOUNT EQUAL TO THE PRICE PAID FOR THE SUBSCRIPTION.
9.5 THE LIMITATIONS OF LIABILITY IN SECTIONS 8 AND 9 ENURE TO THE BENEFIT OF THE GEORGIA WOMEN LEADERS ASSOCIATION, ITS AFFILIATES AND EVERY ONE OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUCCESSORS AND ASSIGNS.
9.6 This Agreement does not exclude or restrict liability for death or personal injury resulting from negligence, for fraud or fraudulent misrepresentation, or for any liability incapable of limitation or exclusion by law.
Section 10. Disputes
10.1 Delaware law, being the law of the State of Delaware, United States of America, governs this Agreement and its construction, irrespective of conflict or choice of law principles.
10.2 The subscriber and the Association irrevocably submit any dispute arising out of, under or in connection with this Agreement to the exclusive jurisdiction of the appropriate federal or state court in Delaware.
10.3 Legal action arising from or related to a subscription, or to the use or purchase of the Association's products or services, shall proceed by arbitration under American Arbitration Association rules, seated in Atlanta, Georgia.
10.4 Arbitration filing and hearing costs fall entirely on the filer (plaintiff). Each party meets its own legal fees.
Section 11. Miscellany
11.1 Assignment. The subscriber shall not assign, sub-license or otherwise transfer any right under these terms and conditions. The subscriber consents in advance to the Association assigning any of its rights, or delegating any of its duties or obligations, under this Agreement to a third party in connection with a reorganization, merger, consolidation, sale of assets or similar transaction.
11.2 Severance. A finding of invalidity by a court of competent jurisdiction as to any provision of these terms and conditions leaves the remaining provisions valid and in full force and effect.
11.3 Waiver. No failure by either party to exercise a right or remedy under these terms and conditions operates as a waiver of it.
11.4 Headings. Headings are inserted for convenience alone and bear no legal meaning or effect.
11.5 Whole agreement. With respect to the Content, this Agreement embodies the entire agreement between the subscriber and the Georgia Women Leaders Association and supersedes all prior agreements, communications, representations and arrangements, written or oral.
11.6 Enquiries. Queries concerning the Service, complaints included, are to be sent to service@BizSummits.org.
